The Due Date, Decoded
Your "periodic report month" is the month the entity was formed or registered in Colorado, and it appears on your entity's Summary page in the state business database. The report is due by the last day of that month, but the state gives you a five-month runway: the two months before, the month itself, and the two months after all count as on time.

Filing It Online: The Steps
No PDF, no mail, no form number. Everything happens in the Secretary of State's portal:
- Pull up your entity in the business database and open the Summary page.
- Start the Periodic Report filing from there during your window.
- Verify the principal office address and registered agent details, the only two things this filing can update.
- Pay the $25 and submit; submission doubles as confirmation that your registered agent consented to the role (C.R.S. 7-90-301).
What Happens If You Skip It
- Window closes unfiled: status becomes Noncompliant and the $50 penalty attaches
- About 60 days later: Noncompliant slides into Delinquent
- Delinquent and ignored: the Secretary of State moves toward administrative dissolution (foreign entities lose their Colorado authority instead)
- The fix: filing the report, or a Statement Curing Delinquency where applicable, restores Good Standing immediately
