What does a registered agent do in Colorado?

A registered agent accepts legal documents (lawsuits, subpoenas), Secretary of State correspondence, and official notices on behalf of your business. Colorado requires every LLC, corporation, and registered foreign entity to have one on file at all times with a physical street address in the state.

Who qualifies to be a registered agent in Colorado?

Individuals must be 18+ with a primary residence or place of business in Colorado. Starting July 1, 2025, individual agents must also provide a valid Colorado driver's license or state ID number to verify residency. Entity agents must be registered with the Secretary of State and in good standing.

What is Colorado's Periodic Report?

It is the state's version of an annual report. Every business entity files one each year, updating the Secretary of State on your registered agent, principal address, and management. The fee is $25 (increased from $10 in 2024). Online-only filing — paper is no longer accepted. A $50 late fee applies if you file in months 6-7 of your window.

How do I switch my registered agent to you?

File a Statement of Change with the Colorado Secretary of State (online at sos.state.co.us). Pay the $10 state fee. Once processed, we immediately begin accepting documents on your behalf.

How fast do you forward documents?

Will my personal address be visible on state records?

Not if we are your agent. Our physical Colorado address replaces yours on all public filings accessible through the Secretary of State's database. Your home or office address stays private.

What happens if I miss the Periodic Report?

A $50 late fee applies if filed during months 6-7 of your window. Beyond that, the Secretary of State may administratively dissolve your entity — which means loss of good standing, potential problems with contracts and banking, and a reinstatement process that includes paying all back fees.

Do you serve foreign entities?

Yes. If your business was formed outside Colorado but is registered here, you still need a Colorado registered agent. Our service and pricing are the same regardless of where your entity was originally formed.

Can I appoint myself as my own agent?

Colorado does not allow a business entity to appoint itself. You may serve as an individual agent if you meet residency and ID requirements, but that puts your home address on the public record and requires availability at that address every business day.

Is your Colorado service a mail forwarding service?

When you use our Colorado registered agent service, we receive legal mail on your behalf. This includes service of process, lawsuits, subpoenas, Secretary of State correspondence, tax notices, and compliance documents.

Sometimes general mail arrives at a registered agent address. We forward up to three such items per year — no questions asked. But this is a courtesy, not a mail forwarding service.

We refuse packages. Google Maps verification postcards, Amazon verification letters, and other third-party verification mail are outside our scope entirely.

How do I cancel?

Email us before your next renewal date. Service runs through the end of your paid annual term. You are responsible for designating a replacement agent with the Secretary of State to keep your entity compliant after cancellation.
